TERMS OF SERVICE

1. Acceptance of Terms

By creating an account, accessing, or using Zori.bio, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Refund Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Age Requirement

You must be at least 18 years old to use Zori.bio. By creating an account, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You are not prohibited by law from using the Service
• All information you provide during registration is accurate and complete

We do not knowingly collect information from or provide services to anyone under the age of 18. If we learn that a user is under 18, we will terminate their account immediately.

3. Account Registration and Security

To use certain features, you must create an account by providing accurate information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at hello@zori.bio of any unauthorized access
• Keeping your account information current and accurate

We reserve the right to suspend or terminate accounts with inaccurate information, or accounts that violate these Terms.

4. Description of Service

Zori.bio provides a link-in-bio platform that allows content creators to create customizable landing pages with multiple links, integrations, and media. Features may include:

• Custom link pages with personalized URLs
• Analytics and click tracking
• Integration with third-party platforms
• Customization options for appearance
• Premium features available through paid subscriptions

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

5. Subscription Plans and Billing

5.1 Free and Paid Plans

Zori.bio offers both free and paid subscription plans. Paid plans provide additional features as described on our pricing page. By selecting a paid plan, you agree to pay all applicable fees.

5.2 Payment Processing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

When you purchase a subscription:

• Paddle.com processes all payment transactions on our behalf
• Your payment information is collected and processed directly by Paddle
• Paddle handles all billing, invoicing, and payment-related customer service
• All purchases are subject to Paddle's Checkout Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms)

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel before the renewal date. By subscribing, you authorize Paddle to charge your payment method for recurring fees until you cancel.

5.4 Price Changes

We may change subscription prices at any time. For existing subscribers, price changes take effect at the start of your next billing period following at least 30 days' notice via email. If you do not agree to a price change, you may cancel before the effective date.

5.5 Taxes

All fees are exclusive of taxes. You are responsible for all applicable taxes, which Paddle collects and remits on your behalf based on your location.

6. Cancellation and Refunds

Please refer to our separate Refund Policy for complete details on cancellations and refunds. Key points:

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• We offer a 30-day money-back guarantee for new subscribers
• Refund requests are processed through Paddle

7. User Content

7.1 Your Content

You retain ownership of all content you create, upload, or display on Zori.bio ("User Content"), including links, text, images, and custom designs.

7.2 License Grant

By posting User Content, you grant Zori.bio a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, and display your User Content solely for the purpose of operating, promoting, and improving the Service. This license ends when you delete your User Content or account, except where your content has been shared with others and they have not deleted it.

7.3 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all User Content you post
• Your User Content does not infringe any third-party rights
• Your User Content complies with these Terms and all applicable laws
• Your User Content is accurate and not misleading

7.4 Prohibited Content

You may not post User Content or link to content that:

• Is illegal, fraudulent, or promotes illegal activities
• Infringes intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is defamatory, harassing, threatening, or promotes violence
• Contains hate speech or discriminates against protected groups
• Is pornographic or sexually explicit (unless linked to legally compliant adult platforms)
• Promotes scams, pyramid schemes, or deceptive practices
• Violates any applicable law or regulation
• Impersonates another person or misrepresents your identity

We reserve the right to remove any User Content that violates these Terms and to suspend or terminate accounts for violations.

8. Acceptable Use Policy

When using Zori.bio, you agree NOT to:

• Violate any applicable law, regulation, or third-party rights
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any systems or accounts
• Use automated means (bots, scrapers) to access the Service without permission
• Resell, sublicense, or commercially exploit the Service without authorization
• Circumvent any security or access restrictions
• Collect or harvest user data without consent
• Send spam or unsolicited communications through the Service
• Register accounts to squat on usernames for resale

Affiliate and Commission Disclosure

If you earn commissions from affiliate links on your Zori.bio page, you are legally required to disclose this to your visitors. You agree to comply with all applicable disclosure laws, including FTC guidelines.

9. Intellectual Property

9.1 Our Rights

Zori.bio and its original content, features, and functionality are owned by Slobodskyi Oleksandr Mykolayovych and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without prior written permission.

9.2 Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, disassemble, or decompile the Service
• Remove any proprietary notices or labels
• Use our branding without authorization

9.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation to compensate you, and we may incorporate such feedback into the Service.

10. Third-Party Services and Links

Zori.bio may contain links to third-party websites, services, or content. We are not responsible for:

• The content, accuracy, or practices of third-party sites
• Any damage or loss caused by third-party services
• The privacy practices of third-party services

Your use of third-party services is governed by their respective terms and policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any content

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• Our total liability shall not exceed the greater of (a) the amounts paid by you in the 12 months preceding the claim, or (b) one hundred US dollars ($100 USD)

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not we have been advised of the possibility of such damages.

For users in jurisdictions that do not permit limitation of liability for personal injury, death, or fraud, our liability is limited to the maximum extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Zori.bio, its owner, affiliates, and service providers from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law

14. Account Termination

14.1 Termination by You

You may terminate your account at any time by accessing your account settings and following the cancellation process. Upon termination, your right to use the Service ceases immediately.

14.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms or our policies
• You engage in fraudulent or illegal activity
• We are required to do so by law or court order
• Your account has been inactive for more than 12 months

14.3 Effect of Termination

Upon termination:

• Your access to the Service will cease
• Your User Content may be deleted after 30 days
• Accrued obligations and the following sections survive: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution
• No refunds will be provided for fees paid in advance, except as stated in our Refund Policy

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Before initiating legal proceedings, you agree to contact us at hello@zori.bio to attempt to resolve the dispute informally for at least 30 days.

For users outside the United States: Any dispute not resolved informally shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

For users in the United States: Any dispute shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in English. You agree to waive any right to participate in class actions or class arbitrations.

15.3 Consumer Rights

If you are a consumer in the European Union or United Kingdom, nothing in these Terms affects your statutory consumer rights that cannot be waived by contract.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before changes take effect. Your continued use after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service before the effective date.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Zori.bio regarding the Service.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

17.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

17.4 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control.
